These Terms of Service (“Terms”) are a binding agreement between you and LetoAds (“LetoAds,” “we,” “our”) and govern your use of letoads.comand the LetoAds platform (the “Service”). By creating an account, signing in, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
LetoAds is a software platform that helps users plan, launch, manage, and report on advertising campaigns across third-party advertising networks, including Google Ads and Meta (Facebook and Instagram). LetoAds is a separate, independent company; we are not affiliated with, endorsed by, or sponsored by Google or Meta.
2. Accounts and eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your sign-in credentials and for any activity under your account.
- You must promptly notify us of any suspected unauthorized access or security incident.
3. Connected advertising accounts
To use most features of LetoAds, you will connect one or more advertising platform accounts via OAuth. By connecting an account, you represent and warrant that:
- You own the connected account or are authorized by its owner to manage it via LetoAds.
- You will comply with the policies and terms of each connected platform, including the Google Ads policies and Meta’s Advertising Standards.
- You authorize LetoAds to access, create, modify, pause, and report on campaigns and assets within the connected account as directed by you inside the Service.
- You are solely responsible for ad spend, billing, taxes, refunds, and chargebacks on the connected platforms; LetoAds does not bill you for ad spend.
4. Acceptable use
You agree that you will not, and will not allow any third party to:
- Use the Service to run advertising that violates applicable law or the policies of the underlying advertising network
- Promote content that is illegal, deceptive, hateful, discriminatory, sexually exploitative, or that infringes intellectual property rights
- Bypass, disable, or interfere with security or rate-limiting features of the Service or any connected platform
- Reverse-engineer, decompile, or attempt to extract source code from the Service, except to the extent required by applicable law
- Use the Service to develop a competing product, or scrape or harvest data from the Service
- Submit malware, viruses, or any code intended to disrupt the Service or other users
- Use the Service in a way that imposes an unreasonable load on our infrastructure or that of a connected platform
We may suspend or terminate your access if we reasonably believe you have violated these Terms or have caused, or are likely to cause, harm to LetoAds, our users, or a connected platform.
5. Your content
You retain all rights to the creative assets, campaign content, copy, and data you upload or generate through the Service (“Your Content”). You grant LetoAds a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content solely to operate the Service for you and to submit Your Content to the advertising platforms you choose.
You represent and warrant that Your Content does not infringe any third-party right and complies with applicable law.
6. Fees and billing
Access to LetoAds may be free or subject to a subscription fee, depending on your plan. Where fees apply, they will be presented before you subscribe. Subscriptions renew automatically until cancelled. Except where required by law, fees paid are non-refundable.
LetoAds does not charge you for ad spend on Google or Meta. You pay the advertising network directly for any spend you authorize through the Service.
7. Beta and preview features
From time to time we may offer features labeled “beta,” “preview,” or similar. These features are provided as-is, may change or be removed without notice, and are excluded from any service-level commitments.
8. Third-party services
The Service interoperates with third-party services, including Google Ads and Meta. Your use of those services is governed by their own terms, and LetoAds is not responsible for their availability, performance, or policies. If a third-party service changes its API or terms, LetoAds may need to modify or discontinue related features.
9. Intellectual property
The Service, including all software, designs, text, graphics, and trademarks, is owned by LetoAds and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Service in accordance with these Terms.
Feedback you provide about the Service is appreciated but is non-confidential, and we may use it without restriction or compensation.
10. Privacy
Our handling of personal information is described in our Privacy Policy. By using the Service, you acknowledge and agree to that policy.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. LETOADS DOES NOT WARRANT ANY PARTICULAR ADVERTISING OUTCOMES OR RETURN ON AD SPEND.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LETOADS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR AD SPEND, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF LETOADS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LETOADS FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
13. Indemnification
You agree to defend, indemnify, and hold harmless LetoAds and its affiliates from any claim, damage, or liability (including reasonable attorneys’ fees) arising out of (a) Your Content, (b) your use of the Service, (c) your breach of these Terms, or (d) your violation of any law or third-party right, including the policies of any connected advertising platform.
14. Termination
You may stop using the Service and request account deletion at any time by emailing support@letoads.com. We may suspend or terminate your access for any reason, including a material breach of these Terms, with notice where practical. On termination, your right to use the Service ends, but provisions that by their nature survive (including sections 5, 9, 11, 12, 13, 15, and 16) will continue to apply.
15. Governing law and disputes
These Terms are governed by the laws of the Cayman Islands, without regard to its conflict-of-laws rules. The courts located in the Cayman Islands will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and the parties consent to personal jurisdiction in those courts.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app banner at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and LetoAds regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
